Each party represents and warrants to the other party that (i) this Agreement,when executed and delivered by it,will constitute a valid and legally binding obligation on this part,enforceable in accordance with its terms,and (ii) the execution,delivery and performance of this Agreement will not result in the breach or violation of any law or regulation applicable to it or any contract or commitment by which it is bound
